3) Accounts, Admin, and Security

3.1 Authorized Users. Each Authorized User must have unique credentials; credential sharing is prohibited. Customer is solely responsible for onboarding and prompt offboarding of Authorized Users and remains responsible for all actions taken under its accounts including all instructions electronically transmitted or use of any data, information or services obtained using your password. REWealth shall not be obligated to validate the authority or propriety of any instructions given to us by you or via your password and REWealth will not be liable for any loss, cost, expense or other liability arising out of any such instructions. Accordingly, you should take steps to protect the confidentiality of your password. As an Authorized User you accept full responsibility for the monitoring of your account.

3.2 Registration Information; Accuracy; Updates. You agree that the information you provide to us on account registration through our website or Service will be true, accurate, current, and complete. REWealth may rely on the last email and mailing address on file for notices and account matters. REWealth has no obligation to monitor, verify, or update Customer's information.

3.3 Authentication & Security Controls. Access to the Service is for Authorized Users only and cannot be shared or used by more than one user but may be reassigned to new Authorized Users at the same user level, replacing former Authorized Users who no longer require ongoing use of the Services.

3.5 Security Incidents; Compromise. REWealth has implemented technical and organizational measures designed to secure Inputs from accidental loss and from unauthorized access, use, alteration, destruction, or disclosure, including internal use of industry-standard antivirus and malware software. Customer must notify REWealth within 24 hours of any known or suspected compromise of credentials, unauthorized access, or other security incident involving its accounts and will cooperate in remediation.

3.6 System Logs; Tracking. REWealth maintains audit and access logs (e.g., account changes, sign-ins) as part of normal operations; retention is per REWealth's Privacy Policy. These internal logs shall be the system of record for all incidents and User actions and may be used to investigate security or abuse. REWealth is not obligated to provide logs to Customer except as required by law or agreed in a separate written order.

3.7 Notices & Contact of Record. Customer must keep at least one Admin email current. Notices are deemed delivered when sent to the most recent Admin email or physical address on file. Missed notices due to outdated contact information are Customer's responsibility.

4) Rights and Use Restrictions

4.1 License Grant. Subject to these Terms of Use, REWealth hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during your Subscription Term for your internal professional use or for the use on behalf of your Customer Clients (as defined above), provided, however, that Customer Clients shall have no rights to access and use the Services directly. Customer, at its option with respect to the license and use of the Service as set forth above, may act on behalf of its customer client (each a "Customer Client").

4.2 Customer Queries; Confidentiality. REWealth agrees that any Customer Queries and any resulting reports shall be deemed Customer Confidential Information (as defined below) and, except as otherwise stated herein, REWealth agrees not to provide the Customer Queries or the resulting reports in their raw form to any other customer of REWealth. You acknowledge that other customers of REWealth may submit identical or substantially similar queries and as a result, REWealth may generate substantially similar reports. So long as such queries and any REWealth responses do not include and are not based on access to your Confidential Information, nothing in these Terms shall limit REWealth from processing such queries from third parties or generating or analyzing similar reports on its own behalf.

4.3 Restrictions. Customer is solely responsible for Inputs and use of the Service by its Authorized Users. You shall not (and shall not permit others to):

  1. modify, adapt, alter, reverse engineer, decompile, or create derivative works of the Services;
  2. attempt to bypass or override operating system, network, or security measures or rate limits, or any component thereof;
  3. use the Services for unlawful, fraudulent, or competitive analysis purposes;
  4. sell, rent, lease, lend, sublicense, distribute, or otherwise transfer or provide access to the Service, application program interface ("API") or any other method of access to any person, firm or entity, except as expressly authorized herein; or
  5. remove proprietary notices.

5) No Tax, Legal, Accounting, Appraisal, or Investment Advice

The Services and Outputs are for informational and educational purposes only and do not constitute tax, legal, accounting, appraisal, or investment advice, nor an offer or solicitation to buy/sell any security or property. You are solely responsible for professional judgments, recommendations, regulatory compliance, and for advising your clients to seek independent tax/legal counsel. The Outputs are not tax returns, appraisals, mortgage underwriting analyses, GAAP/SEC reporting, or any filing with a governmental agency.

Circular 230 disclosure: Any U.S. federal tax information provided by the Services or Outputs is not intended or written to be used, and cannot be used, by any taxpayer for the purpose of avoiding penalties that may be imposed under the Internal Revenue Code.

6) Calculations, Assumptions, and Known Limitations

(a) Projections & Estimates. The Services use assumptions, simplifications, and third-party data that may not reflect actual results. Outputs are estimates; actual results will vary. The Outputs, composite, and other market information shown on the Service uses or includes information compiled from third-party sources, including public records, market data, mapping, and economic indicators. REWealth believes the third-party information comes from reliable sources, but we do not control and are not responsible for the accuracy, availability, latency, or continued provision of any third-party data or services, which may change or cease without notice.

(b) Known Modeling Limits (as of the Last Updated date):

  • Basis step-up modeling assumes spouses die simultaneously (not sequentially).
  • Alternative Minimum Tax (AMT) is not projected or calculated.

We may add or revise limitations from time to time (see Section 13).

7) Privacy and Security

Your privacy is governed by our Privacy Policy (incorporated by reference). Without limiting that policy:

  1. you represent that you have all rights and consents to provide Inputs, including any client personal data;
  2. we will implement commercially reasonable administrative, technical, and physical safeguards appropriate to our Services; and
  3. you will comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements.

8) Beta Features; Entire Platform Currently in Beta

REWealth will have no liability under these Terms of Use (including any indemnification obligations) arising out of or related to any use of Beta Features by Customer, its Users, or its or their Customer Clients. Any use of Beta Features will be solely at Customer's own risk and may be subject to additional requirements as specified by REWealth. REWealth is not obligated to provide support for Beta Features and REWealth may, at its sole discretion, cease providing Beta Features as part of any Services.

9) Intellectual Property; Feedback

As between Customer and REWealth, the REWealth Intellectual Property is, and shall at all times remain, the sole and exclusive property of REWealth. Customer shall have no right to use, copy, distribute or create derivative works of the REWealth Intellectual Property except as expressly provided herein. REWealth shall have the right, in its sole discretion, to modify the REWealth Intellectual Property. "REWealth Intellectual Property" means (a) the Services, (b) all improvements, changes, enhancements and components thereof, (c) all other proprietary materials of REWealth and/or its licensors that are delivered, provided or used by REWealth in the course of providing the Services, and (d) all other Intellectual Property Rights owned by REWealth. Except for the limited rights expressly granted herein, REWealth reserves all rights, title, and interest in and to its respective Intellectual Property Rights, and the respective Intellectual Property Rights of its affiliates, successors, agents, contractors, and assigns. No rights are granted other than as expressly set forth herein. By submitting feedback, suggestions, or ideas, you grant REWealth a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use and commercially exploit such feedback, comments, suggestions, communications, and requests for improvements or enhancements relating to the Services for any purpose without restriction or compensation.

10) Fees, Billing, and Taxes

Subscription fees are billed in advance and are non-cancelable and non-refundable except as expressly stated in these Terms. Fees are exclusive of all taxes, levies, and duties (collectively, "Taxes"), for which you are responsible, excluding our income taxes.

a. Pricing and Orders. Fees are as shown in the product, at checkout, or in an order form, and are based on the Services and quantities you select (e.g., seats, add-ons, usage tiers).

b. Renewal Pricing; Notice of Changes. We may change fees from time to time, provided any increase in fees will take effect at the start of your next Renewal Term (monthly changes at the next monthly billing cycle; annual changes at the next annual renewal). We will use commercially reasonable efforts to provide at least 30 days' advance notice for monthly plans and 60 days' advance notice for annual plans via email or in app notice. If you do not agree to the new fees, you must cancel before the Renewal Term effective date; otherwise, the Renewal Term will be billed at the new rate.

c. Mid Term Changes. We will not increase fees during the Term except for (i) changes resulting from your requested modification to the Services (e.g., adding Seats, add-ons, or upgrading plans), (ii) usage based or overage charges that you incur, or (iii) changes in Taxes, government fees, or pass through charges.

d. Automatic Renewal; Cancellation. Plans renew automatically for the same Term length unless you cancel prior to the end of the then current Term. Cancellation takes effect at the end of the current Term.

e. Payment Authorization; Retries. You authorize us and our payment processors to charge your provided payment method for all fees and applicable Taxes when due, including upon renewal. We may retry failed charges, use network account updater services, and suspend access for non payment.

f. New Products/Features. We may offer new or premium features priced separately. Your use of any such features is optional and will be billed only if you elect to enable them.

Metered Usage
Each subscription plan includes a stated number of Units and Seats. Customer authorizes Company to measure Active Units and to bill unit overage at the then-current per-unit rates. Seat fees are based on the quantity of Seats included in or added to the subscription, as selected by Customer in the product, at checkout, or in an order form. For monthly subscriptions, recurring Seat fees renew monthly. For annual subscriptions, base fees are prepaid annually; additional Seat purchases may be charged when added, including prorated charges for mid-term increases, and updated recurring Seat fees will be reflected on subsequent renewals. If REWealth's applicable monitoring system reveals any underpayment of the correct amount of fees due to REWealth, REWealth shall notify you and provide you with reasonable verification of such underpayment. All underpayments shall be billed in accordance with the billing terms contained herein.

Unit Metering
Active Unit counts are determined from system logs at period end. Customer may archive Units at any time; archived Units are not billable until reactivated. Certain plans include a monthly cap on per-unit charges; caps apply per account per billing period and do not carry over.

Mixed-Use / Ancillary Spaces
Included: Any space with its own lease/license or separate rent stream (e.g., storage, garage, parking, non-residential suites).
Excluded: Common areas/amenities and bundled extras not rented separately.
For single-tenant properties covered by one lease, the property counts as one Unit unless Customer models internal suites as separate Units.

Seat Metering
Seats are based on the number of Seats purchased for the subscription. Credential sharing is prohibited; each natural person must have their own Seat. Customer is responsible for purchasing and maintaining enough Seats for its Authorized Users.

Counting & Disputes
Customer must submit any billing dispute within 30 days of the invoice date. If validated, Company will credit the overbilled amount on the next invoice.

Trials
Trials may require completing activation steps. Unless cancelled before trial end, subscriptions convert to paid at the plan rate. Trial data may be deleted or archived after 30 days if Customer does not convert.

Upgrades / Downgrades
Seat increases and plan upgrades take effect immediately and may be prorated for the remainder of the current billing period. Seat reductions and downgrades take effect at renewal unless otherwise stated in the product or an order form.

Refunds & Taxes
Fees are non-refundable except as required by law. Except as otherwise stated in the product or an order form, reductions in Seats or Services do not create a mid-term refund or credit. Fees exclude taxes; Customer is responsible for applicable taxes.

11) Suspension; Termination

REWealth may immediately suspend provision of the Service or Customer's access to the Service at any time should REWealth in its reasonable judgment acting in good faith determine that (a) Customer has violated any applicable laws while using the Service; (b) such suspension is reasonably necessary to avoid damage to property or breach of security; (c) any charge that Customer owes to REWealth hereunder is thirty (30) days or more overdue from receipt of a written notice of such non-compliance; or (d) Customer has failed to pay any amounts due to REWealth hereunder and Customer has not corrected such failure within thirty (30) days of receipt of a written notice of such non-compliance. In the case of (c) and (d) above, REWealth shall notify Customer in writing prior to any such suspension. In addition, REWealth may immediately suspend provision of the Service or Customer's access thereto at any time that REWealth is required to do so by a government authority or court order. In all cases, REWealth agrees to limit the suspension to only the minimum time as is reasonably necessary to address the reason for the suspension.

12) Indemnification

You shall defend, indemnify, and hold harmless REWealth and its affiliates, officers, employees, and agents from and against any third party claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or Outputs; (b) your professional advice or communications to Customer Clients; (c) your Inputs (including accuracy, lawfulness, intellectual property, privacy, and data rights); (d) your violation of law or third-party rights; or (e) any claim by your Customer Client or a third party alleging reliance on the Outputs. We will promptly notify you of any claim and reasonably cooperate at your expense.

13) Changes to the Services; Assumptions; Terms

We may modify or discontinue features, assumptions, data sources, or parameters at any time. We may update these Terms from time to time. If changes are material, we will notify you by reasonable means (e.g., in-app notice or email). Your continued use after the effective date constitutes acceptance of the updated Terms.

14) Third-Party Products

The Services may permit access to Third-Party Products via API or other connections. For purposes of these Terms, these Third-Party Products are subject to their own terms and conditions which may be presented to you for acceptance by website link or otherwise. The Services may also include or incorporate Third-Party Products licensed or provided by third parties that require us to pass through additional terms to you. You shall comply with all such applicable pass-through terms as made available at www.REWEalth.io through the documentation, or otherwise, as such terms may be updated, modified, or added from time to time. We may add or remove Third-Party Products from time to time. If you do not agree to abide by the applicable terms for any Third-Party Products, then you should not install, access, or use these Third-Party Products or any Services that include or incorporate these Third-Party Products.

15) Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." REWEALTH AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WITHOUT LIMITATION, WE DO NOT WARRANT THAT (A) THE SERVICES OR OUTPUTS WILL BE ERROR-FREE OR MEET YOUR REQUIREMENTS; (B) PROJECTIONS WILL MATCH ACTUAL RESULTS; OR (C) THIRD-PARTY DATA WILL BE ACCURATE OR AVAILABLE.

16) Limitation of Liability

a. No Indirect Damages. NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, REVENUE, GOODWILL, OR DATA), EVEN IF ADVISED OF THE POSSIBILITY.

b. Cap. REWEALTH'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO REWEALTH FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

c. Allocations. The disclaimers and limitations in Sections 15-16 form a fundamental basis of the bargain.

17) Dispute Resolution; Arbitration; Class-Action Waiver; Governing Law

a. Governing Law. These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules.

b. Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and venue of arbitration shall be Philadelphia County, Pennsylvania. The language shall be English. Judgment on the award may be entered in any court of competent jurisdiction.

c. Class-Action and Jury Trial Waiver. You and REWealth waive any right to a jury trial and to participate in a class or representative action. Disputes must be brought in the parties' individual capacities only.

18) Publicity; Trademarks

You may not use REWealth's name, logo, or marks without our prior written consent. During the applicable Term, REWealth may use your name or logo on its customer list, website or marketing materials to demonstrate the relationship between the parties. Any use of Customer's name or logo shall be subject to Customer's trademark usage guidelines as provided to REWealth.

19) Compliance; Export

You represent that you and your Authorized Users are not prohibited from using the Services under applicable sanctions or export laws and will comply with all applicable laws in using the Services.

20) Miscellaneous

These Terms constitute the entire agreement between you and REWealth regarding the Services and supersede all prior or contemporaneous agreements relating to its subject matter. If any provision is held unenforceable, it will be enforced to the maximum extent permissible, and the remainder will remain in effect. You may not assign these Terms without our written consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. No waiver is effective unless in writing and signed by the waiving party. There are no third-party beneficiaries.
